Terms of Service

These Terms of Service ("Terms") are a binding agreement between [CONTROLLER LEGAL NAME] ("we," "us," "our") and you ("you," "your"). They govern your access to and use of Nebula Novel — the marketing site at nebulanovel.com, the writing application at app.nebulanovel.com, the community application at community.nebulanovel.com, the subscription management application at subscriptions.nebulanovel.com, and the documentation wiki at wiki.nebulanovel.com (together, the "Services").

By creating an account, paying for a subscription, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

Nebula Novel provides:

• A web-based writing application for storing and editing manuscripts (the "Writing Application").
• A subscriber-only community for discussion among writers (the "Community Application").
• A marketing site, documentation wiki, and subscription management interface.

We may add, change, or remove features at our discretion. We will give you reasonable notice of material changes that reduce features you actively rely on.

The Services are provided as a hosted service, not as software you install. The Nebula desktop application is distributed separately under its own license and is not part of these Terms.

2. Eligibility

You must be at least 13 years old to use the Services. You must be at least the age of majority in your jurisdiction to enter into a paid subscription. By using the Services you represent that you meet these requirements.

The Services are not directed to children under 13. We do not knowingly collect data from anyone under 13. See the Privacy Policy.

3. Accounts

You are responsible for:

• Providing accurate account information.
• Keeping your password confidential.
• All activity that occurs under your account.

You must notify us promptly at hello@nebulanovel.com if you believe your account has been compromised.

We may suspend or terminate your account if you violate these Terms or applicable law. Where reasonable, we will give you notice and an opportunity to cure. Where the violation is serious — e.g. unlawful conduct, abuse of other users, or a security threat — we may suspend immediately without notice.

4. Subscription and payment

4.1 Plans and pricing

Current plans and pricing are published at nebulanovel.com. Prices are stated exclusive of any applicable taxes; tax is calculated at checkout based on your billing location.

4.2 Billing

When you start a paid subscription, you authorize us — via our payment processor Stripe — to charge your payment method:

• The subscription fee for the current period at the start of that period, recurring at the interval you selected (monthly or annual).
• Any applicable taxes.

If a payment fails, we may suspend access until payment succeeds. After repeated failure, we may cancel the subscription.

4.3 Renewal and cancellation

Subscriptions renew automatically at the end of each billing period unless you cancel. You may cancel at any time from subscriptions.nebulanovel.com. Cancellation takes effect at the end of the current billing period; you retain access until then.

4.4 Refunds

If you cancel within 14 days of the start of your first subscription and have not used the Services beyond initial signup, contact hello@nebulanovel.com for a full refund.

Beyond the 14-day window, we generally do not offer pro-rated refunds for cancellation mid-period. Your subscription continues until the end of the period you have already paid for.

If we materially reduce the features of your subscription tier during a paid period and you cancel within 30 days of the change, we will refund the pro-rated unused portion.

[TBD — Phase 2b] EU 14-day right of withdrawal language will be added when the Services are available in the EEA / UK.

4.5 Taxes

You are responsible for any taxes payable in your jurisdiction in connection with your subscription, except for taxes based on our net income.

4.6 Price changes

We may change subscription prices. We will give you at least 30 days' notice by email before any price change. The new price takes effect on your next renewal after the notice period.

5. Your content

5.1 What "Your Content" means

"Your Content" means anything you submit to the Services — manuscripts, chapters, notes, profile information, community messages, comments, reactions, and similar.

5.2 You own your content

You retain ownership of all intellectual property rights in Your Content. We do not claim ownership.

5.3 License you grant us

To operate the Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable (only to our service providers as listed in the Privacy Policy and as necessary to provide the Services) license to host, store, reproduce, transmit, display, and process Your Content solely for the purpose of providing the Services to you and (in the case of community content) to other authorized community members.

This license terminates when you delete Your Content from the Services, except:

• In the Community Application: as described in section 5.4 below.
• In our backups: Your Content may persist in encrypted backups for up to 30 days after deletion, after which it is overwritten.
• Where retention is required by law: e.g. tax records, lawful preservation orders.

5.4 Community content — special rules

The Community Application is a shared archive. Messages and posts you submit there form part of an ongoing conversation that other paid members rely on for context, lore, and continuity.

By submitting content to the Community Application, you grant us — and the platform's authenticated members — a perpetual, irrevocable, non-exclusive, royalty-free license to display that content in the Community Application even if you later delete your account. When you delete your account, your community content remains accessible to other members, but is anonymized — your display name, profile, and identifying metadata are stripped, and the messages appear authored by "Anonymized Writer."

This balance is described in detail in section 11 of the Privacy Policy. It is necessary to keep the community usable for paying members; you should not submit content to the Community Application that you would not want to remain visible (in anonymized form) after you leave.

5.5 No training of third-party models on your content

We do not use Your Content to train, fine-tune, or evaluate any artificial intelligence or machine learning model, whether operated by us or by a third party. We do not provide Your Content to any third party for these purposes. If we ever offer an AI-assist feature, it will be opt-in, the model and provider will be disclosed, and your content used in such interactions will not be retained for training by the model provider beyond what is technically necessary for the immediate response.

5.6 Sensitive content

You acknowledge that the Services are not designed for the storage of sensitive personal information — including health data, financial account numbers, government-issued identifiers, biometric data, or precise geolocation. You should not store such information in your manuscripts, community posts, or profile unless you fully understand the risk that platform staff or other community members may inadvertently see it.

6. Our intellectual property

We own the Services themselves — the software, designs, trademarks, logos, and all underlying intellectual property. Nothing in these Terms gives you any rights in our intellectual property except the limited right to use the Services as intended.

"Nebula Novel" and our logos are trademarks of [CONTROLLER LEGAL NAME].

7. Acceptable use

You agree not to:

• Use the Services for illegal purposes.
• Harass or harm other users.
• Upload malicious code, spam, or content that infringes the rights of others.
• Attempt to circumvent our access controls, rate limits, or security measures.
• Use the Services to train AI models (whether yours or a third party's) by extracting content from the community.
• Scrape, crawl, or programmatically access the Services except as we have explicitly authorized.

We may suspend or terminate your account for violations as described in section 3.

8. Copyright complaints (DMCA)

If you believe content on the Services infringes your copyright, see our DMCA Policy for the takedown procedure. Direct DMCA notices to hello@nebulanovel.com.

9. Service availability and changes

We aim to keep the Services available with reasonable uptime but do not guarantee any particular service level for the soft-launch period. We may schedule downtime for maintenance with reasonable notice where possible.

We may make changes to the Services. If a change materially reduces functionality you actively use, we will give reasonable notice.

10. Termination

You may terminate this agreement and delete your account at any time. See section 4 (refunds) and section 5 (content treatment on deletion).

We may terminate this agreement and your account if:

• You materially breach these Terms and (where reasonable) fail to cure within 14 days of notice.
• You fail to pay.
• Your conduct presents legal risk to us or other users.
• We discontinue the Services — in which case we will give at least 90 days' notice and a path to export your content.

Termination does not affect any rights or obligations that have accrued before termination.

11. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available." We disclaim all warranties — express, implied, or statutory — including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

12. Limitation of liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages — including lost profits, lost data, or loss of goodwill — arising out of or related to the Services.
• Our total aggregate liability arising out of or related to the Services in any 12-month period is limited to the amount you paid us for the Services in that 12-month period, or $100 USD if you have not paid anything.

This limitation applies regardless of the legal theory (contract, tort, statute, or otherwise).

13. Indemnification

You agree to defend, indemnify, and hold us harmless from any claim, demand, loss, liability, or expense — including reasonable attorney's fees — arising out of or related to:

• Your Content,
• Your use of the Services,
• Your violation of these Terms or applicable law, or
• Your violation of the rights of any third party.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of [GOVERNING LAW STATE], United States, without regard to its conflict-of-law principles.

Any dispute arising out of or related to these Terms will be brought exclusively in the state or federal courts located in [VENUE], and you and we consent to the personal jurisdiction of those courts.

[TBD — Phase 2b] EU and UK consumers' non-waivable right to bring claims in their country of residence under their local consumer-protection law will be added when the Services are available in the EEA / UK.

15. Changes to these Terms

We may modify these Terms. We will notify opted-in users by email at least 30 days before material changes take effect. Your continued use of the Services after the effective date constitutes acceptance.

If you do not accept the changes, you may terminate your subscription before they take effect under section 10.

16. Miscellaneous

• Entire agreement. These Terms (with the Privacy Policy and DMCA Policy) constitute the entire agreement between you and us regarding the Services.
• No assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Severability. If a provision is held unenforceable, the remainder remains in effect.
• No waiver. Our failure to enforce a provision is not a waiver.
• Notices. We may give notice by email to the address associated with your account. You may contact us at hello@nebulanovel.com or by mail at the address in section 17.
• Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
